Terms of Service

Effective date: April 21, 2026

These Terms govern your access to and use of Proofline, including the applications, website, APIs, public share links, and related services.

1. Agreement to these Terms

By creating an account, accessing Proofline, opening a public share link, or using any part of the service, you agree to these Terms. If you do not agree, do not use Proofline.

"Proofline", "we", "us", and "our" refer to the Proofline service. Proofline is the named provider for these Terms. A separate formal legal entity, postal address, and governing law section have not been finalized in this document yet and should be completed after legal review.

2. What Proofline provides

Proofline provides trade journaling, trade record management, multi-account journal workspaces, evidence attachment, broker or exchange sync where available, analytics, profile and settings features, notifications, password recovery, support, and read-only public trade sharing.

The service may change over time. We may add, modify, limit, suspend, or discontinue features, integrations, providers, platforms, or public endpoints where necessary for security, product quality, legal compliance, or operational reasons.

3. Eligibility and account responsibility

You must be legally able to use Proofline and make independent trading decisions in your jurisdiction. You are responsible for the accuracy of information you provide, the security of your credentials and devices, and all activity under your account.

Do not share passwords, recovery links, broker credentials, exchange API keys, or private account access material with support or other users. If you suspect unauthorized access, contact support immediately.

4. No financial advice or trading execution

Proofline is not a broker, exchange, investment adviser, financial adviser, tax adviser, legal adviser, signal service, copy-trading system, automated trading system, or portfolio manager. Proofline does not place trades, hold funds, custody assets, route orders, recommend securities or derivatives, or guarantee trading outcomes.

Any analytics, review signals, summaries, calendar views, performance breakdowns, mistake detection, sync results, or journal insights are informational and depend on the data available in your account. You remain solely responsible for trading decisions, risk management, position sizing, tax reporting, compliance, and verification against broker or exchange records.

5. Your content and license to operate the service

You keep ownership of trade notes, journal entries, uploaded images, attached links, imported records, and other content you submit to Proofline. You grant Proofline a limited license to host, store, process, display, transmit, transform, analyze, and back up that content as needed to provide, secure, support, and improve the service.

You are responsible for ensuring that you have the right to upload, import, share, or process the content you provide. Do not upload unlawful content, content that violates another person's rights, malware, secrets you do not want stored, or information you are prohibited from sharing.

6. Public share links

Proofline may allow you to create read-only public trade links. Public share links are intended for controlled sharing of selected trade review data. Anyone with the URL and required token may be able to access the shared view until the link expires, is revoked, is regenerated, or is otherwise disabled.

You are responsible for deciding what to share and with whom. Do not share confidential, regulated, third-party, personal, or account-sensitive information unless you have the right and intention to make it available through the public link. Proofline is not responsible for downstream copying, screenshots, forwarding, or disclosure by recipients after you share a link.

7. Broker, exchange, and market-data integrations

Sync and import features may rely on third-party broker, exchange, report, or market-data providers. Integrations can be delayed, unavailable, incomplete, incorrect, rate-limited, blocked, or changed by third parties. Imported records may require review and correction.

You are responsible for complying with provider terms, protecting API keys and credentials, maintaining appropriate permissions, and verifying synced data before relying on it. Proofline may suspend or disable integrations to protect users, providers, infrastructure, or legal compliance.

8. Media uploads and storage

Proofline may support image uploads for trade evidence, such as chart screenshots. Uploads may be limited by file type, file size, storage quotas, account state, premium capability, and security checks. Unsupported or unsafe files may be rejected or removed.

Do not upload images that contain passwords, private keys, API secrets, full account credentials, government identifiers, private third-party information, or anything you are not allowed to store or share.

9. Premium status and billing

Proofline includes premium capability concepts such as broker sync, image upload, and deeper review features. At the effective date of these Terms, subscription checkout and purchase restoration are not live. Premium messaging in the app may describe planned or launch-status capabilities rather than an active paid checkout.

If paid subscriptions, app store purchases, trials, or restoration flows are introduced later, additional terms, pricing, renewal, cancellation, refund, tax, and app store rules may apply. We should update these Terms before or when those paid flows go live.

10. Acceptable use

You agree not to:

  • Use Proofline for unlawful, harmful, deceptive, abusive, or rights-infringing activity.
  • Attempt to access accounts, data, systems, or integrations without authorization.
  • Interfere with, overload, scrape, reverse engineer, bypass, or disrupt the service except where law expressly permits.
  • Use public share links to expose private data without permission.
  • Upload malware, exploit payloads, credential dumps, or content designed to compromise systems.
  • Misrepresent Proofline outputs as financial advice, audited accounting, broker statements, or guaranteed performance records.
  • Circumvent feature gates, usage limits, sync controls, entitlement checks, or security protections.

11. Availability and data integrity

We aim to provide a reliable service, but Proofline may be interrupted by maintenance, provider outages, network failures, security incidents, bugs, platform restrictions, or integration changes. We do not guarantee uninterrupted availability or error-free data.

You should maintain independent records where required for trading, tax, compliance, legal, accounting, or audit purposes. Proofline is a review tool and should not be your only record of financially significant activity.

12. Intellectual property

Proofline, including its software, interfaces, design, branding, documentation, and service materials, is owned by Proofline or its licensors and is protected by intellectual property laws. These Terms do not grant you ownership of the service.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use Proofline for your own lawful trade journaling and review purposes.

13. Privacy

The Privacy Policy explains how Proofline processes information. By using Proofline, you acknowledge that information will be processed as described there.

14. Termination

You may stop using Proofline at any time. We may suspend or terminate access if you violate these Terms, create risk for Proofline or others, fail to comply with law, misuse integrations, or if continued service becomes impractical or unsafe.

Termination does not automatically delete all information immediately. Retention and deletion are handled according to the Privacy Policy, operational backups, legal obligations, and security needs.

15. Disclaimers

To the maximum extent permitted by law, Proofline is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, data integrity, trading performance, and compatibility with third-party providers.

16. Limitation of liability

To the maximum extent permitted by law, Proofline will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, trading losses, missed trades, lost opportunities, loss of data, loss of goodwill, provider failures, or unauthorized disclosure resulting from your own sharing of public links or credentials.

Where liability cannot be excluded, Proofline's aggregate liability for claims relating to the service will be limited to the greater of the amount you paid to Proofline for the service in the twelve months before the claim or USD 100, unless applicable law requires a different amount.

17. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold Proofline harmless from claims, losses, liabilities, damages, costs, and expenses arising from your content, your trading activity, your public share links, your misuse of integrations, your violation of these Terms, or your violation of law or third-party rights.

18. Governing law and disputes

This section requires legal review. The governing law, venue, dispute process, formal service provider identity, and consumer-protection language should be completed before commercial launch or paid billing.

19. Changes to these Terms

We may update these Terms as Proofline changes. The updated version will be posted on this page with a revised effective date. Continued use after an update means you accept the updated Terms, except where law requires another form of notice or consent.
